Article 17 explained in plain English
This article addresses financial institutions and the specified non-financial businesses and professions in applying the due diligence measures referred to in Article 64 of the Law.
When are they taken? Before opening an account or establishing a business relationship, before carrying out a transaction or wire transfer for a customer with whom there is no business relationship (even if the transactions appear to be linked), when terrorism financing is suspected whatever the amount, and when there is doubt about the accuracy or adequacy of the customer's data.
According to risk: they are tightened when risks are high and eased when they are low, and enhanced measures are applied when there is suspicion.
The minimum:
- Verifying the customer's identity from a reliable and independent source: for an individual, his full name, address, place and date of birth and nationality; for an entity, its name, structure, proof of establishment, powers, the names of its directors and its address, with any additional information according to risk.
- Verifying that whoever acts on behalf of the customer is authorized, and verifying his identity.
- Identifying the beneficial owner: whoever owns or controls 25% or more, otherwise whoever exercises control by any means, and in a legal arrangement the settlor or trustee, the beneficiaries and whoever controls it.
- Understanding the purpose of the relationship and the ownership and control structure, and any measures imposed by the supervisory authority.
Deferral: verification may be deferred until after the relationship is established so as not to interrupt business, with urgent measures applied to control and manage the risks.
Continuity: the measures are applied on an ongoing basis and data are updated, especially for high-risk customers.
When not possible: the account is not opened, the relationship is not established or the transaction is not carried out, or the existing relationship is ended, and a report is submitted to the General Directorate of Financial Investigations. If it is feared that the measures would tip off the suspected customer, they may be left unapplied, with an urgent report to the Directorate giving the reasons.
A person whose relationship with a financial institution has been affected by these measures may consult a lawyer specialized in banking and finance.
Practical example
A startup wants to open an account at a bank in Riyadh. The bank asks for the partners' details to identify who owns 25% or more, and if the company cannot provide what is needed to complete due diligence, the account is not opened and the bank submits a report to the General Directorate of Financial Investigations.
