Article 60 explained in plain English
This article regulates the mortgage of the whole ship when it is co-owned.
1. The quorum: it may be mortgaged with the approval of owners holding at least three quarters of the shares.
2. If the quorum is not obtained: the matter may be referred to the competent court, which rules in line with the interest of the co-owners.
In practical terms, a simple majority is not enough to mortgage a jointly owned ship; three quarters of the shares are needed. If partners holding more than a quarter of the shares refuse, the matter does not end there, because it can be put to the court, which considers the interest of all the owners. The article does not specify who refers the matter to the court, or the detailed criteria for assessing the interest.
This rule is linked to Article 59, which provides that a ship mortgage is not concluded except by an official contract; approval by the quorum does not replace the official form. Mortgaging the whole ship differs from a partner mortgaging his own share alone.
A person considering a mortgage on a ship owned in partnership may consult a lawyer specializing in commercial matters or banking and finance.
Practical example
Four partners own a ship in equal shares (25% each), and three of them approved mortgaging it to finance its upgrade. Their approval represents 75% of the shares, so the quorum is met, and the mortgage is then concluded by an official contract.
