Article 2 explained in plain English
This article shows the business or professional activities referred to in paragraph (15) of Article (1) of the Law, which fall into three categories:
1. Real estate brokerage without qualification.
2. Trading in gold, precious stones or precious metals, provided the value of the transaction exceeds fifty thousand Saudi riyals, whether it takes place in one transaction or in several transactions that appear to be linked, and whether through an individual establishment or a commercial company. Splitting a deal into linked transactions does not take it outside the scope.
3. Legal or accounting services provided by lawyers, accountants or others in the course of practicing the profession, but only when preparing or carrying out transactions in the following activities:
- The client's purchase, sale or leasing of real estate.
- Managing the client's funds, including his bank or investment accounts or other assets.
- Establishing, operating or managing legal persons or legal arrangements, or organizing subscriptions relating to them.
- The client's purchase or sale of commercial companies.
The practical meaning is that a lawyer or accountant does not fall within this category merely by practicing the profession, but when preparing or carrying out transactions of the types mentioned. The article does not state the obligations that result from falling within this category. A person who wishes to verify the position of his activity may consult a lawyer specialized in commercial and company cases.
Practical example
A gold shop in Jeddah sold a customer jewelry worth SAR 30,000, and then SAR 25,000 the next day in a transaction that appears to be linked to the first. The total of the two operations exceeds SAR 50,000, so they fall within the category the article specifies.
