Article 9 explained in plain English
After Article 8 explained that the general assembly consists of all subscribers, this article sets out what it is responsible for, which is four powers:
- Electing the board of directors' members: The assembly elects two thirds of the board's members. The Minister may approve electing only half of the members in cases he assesses, in which case the number of seats filled by election is smaller.
- Financial and administrative oversight: Discussing the annual report on the Chamber's activity, its financial position, the draft estimated budget, and the final account for the financial year that has ended, then approving them and providing the Ministry with a copy.
- Subscribers' proposals: Discussing subscribers' proposals relating to the Chamber, which gives subscribers a forum for putting forward their views.
- Approving internal regulations: These include the administrative and financial regulations, the regulations for the Chamber's staff, the governance regulation, and the training and scholarship regulations, provided they are consistent with the relevant legal provisions.
This article shows the standing of the general assembly as the body that elects most of the board and approves the financial papers and regulations. Article 10 regulates when the assembly meets: it meets at least once a year within 90 days of the end of the financial year on the call of the Chamber's president, and it may be called at the request of the board of directors or of at least 5% of the subscribers, and meetings and voting may be held electronically under the Implementing Regulations' controls.
Practical example
Abdullah owns a small factory in Kharj and is a subscriber in the Chamber. When the general assembly meets, he can take part in electing the board of directors' members, discuss the final account and the draft budget before they are approved, and put forward a proposal on the Chamber's services for discussion.
