Article 10 of the Saudi Chambers of Commerce Law

This article explains when and how the general assembly meets, which under Article 8 consists of all the subscribers.

• The annual meeting (paragraph 1): The assembly meets at least once every year, within the 90 days following the end of the financial year, on the call of the Chamber's president.
• A meeting on request (paragraph 2): The assembly may be called to meet at the request of the board of directors or of at least 5% of the subscribers. The request is submitted to the Chamber's president, and he must call the meeting within a period not exceeding 30 days of the date the request is submitted.
• Procedures and conditions (paragraph 3): The Implementing Regulations specify them, and the article does not detail them.
• Electronic means (paragraph 4): Meetings may be held and decisions voted on electronically, under the controls the Implementing Regulations specify.

The second paragraph is important for subscribers: it gives them a way to request a meeting of the assembly if at least 5% of them come together, and obliges the Chamber's president to call it within 30 days of the request being submitted.

This article connects to Article 9, which sets what the assembly is responsible for at these meetings, including discussing and approving the annual report, financial position, draft estimated budget and the final account for the financial year that has ended, and discussing subscribers' proposals. The details of quorum, the method of calling and other matters are for the Implementing Regulations.
