Article 64 explained in plain English
This article determines who is treated as related to another, a concept on which Article 63 builds its anti-tax-avoidance measures, such as reallocating income among related parties, suspending their losses and income splitting.
(a) Among natural persons: A person is related to another if he is a spouse or in-law, or a relative up to the fourth degree.
(b) Between a natural person and companies: He is related if he is:
- A partner in a partnership who controls, alone or with persons related to him, 50% or more of its income rights or capital, directly or through subsidiaries.
- A partner in a capital company who controls, alone or with persons related to him, 50% or more of the voting rights or their value, directly or through subsidiaries.
- In the case of bodies managing endowed funds for specified purposes: if he benefits or can benefit from them, alone or with persons related to him.
(c) Being under common control: Companies or bodies are under common control if 50% or more of them is controlled by the same person or related persons, and control means:
- In partnerships: owning income rights or capital.
- In capital companies: owning voting rights or value.
- In bodies managing endowed funds: owning a beneficial interest in their income or assets.
Ownership in the first two cases is direct or indirect through subsidiaries. To determine relatedness in a complex ownership structure, it is advisable to consult a lawyer specializing in tax and zakat.
Practical example
Khaled owns 30% of a limited liability company in Dammam, and his son owns 25% of it. Because Khaled and his related relative together control 55% of the voting rights, Khaled is related to the company, so his transactions with it are subject to the related party provisions of Article 63.
