Article 3 explained in plain English
This article deals with a specific category: a company not listed on the Saudi financial market, established under the Saudi Companies Law, in whose capital one or more persons who do not hold Saudi nationality participate, whether individuals or legal persons.
The article gives this company two rights:
- Ownership within the geographic scope: it may own real estate or acquire other real rights in it within the geographic scope referred to in paragraph 2 of Article 2, that is, the one set by the Council of Ministers, including Makkah and Madinah.
- Ownership for activity and housing: it may own the real estate or real rights needed to carry out its activities and to house its workers, inside or outside the geographic scope, as the regulations provide, subject to the first paragraph and any benefits granted by other laws.
The difference between the two rights is that the first is limited by the geographic scope, while the second goes beyond it but is tied to the company's actual need for its activity and the housing of its employees, with details left to the regulations.
Note that Article 2 limits the right of a non-Saudi mentioned in its first paragraph, in Makkah and Madinah, to a Muslim natural person, whereas this article expressly allows the company concerned to own in them within the geographic scope. Companies considering buying a headquarters or housing for workers may consult a lawyer specialized in real estate or company matters.
Practical example
A limited liability company in Jeddah, established under the Saudi Companies Law, half of whose shares are held by a non-Saudi partner, needs a warehouse for its business and a building to house its employees in an area outside the geographic scope. Paragraph 2 allows it to own what it needs for its activity and its workers' housing outside the scope, as the regulations provide.
