Article 7 explained in plain English
This article sets the working rules of the Insurance Authority's board of directors at its meetings:
- Place and chair: Meetings are held at the Authority's head office, chaired by the chairman or a member he designates, and may be held at another place inside the Kingdom.
- Frequency: At least 4 times a year, and whenever needed in the chairman's judgment, or at the request of at least one third of the members.
- Invitation: The chairman issues it in writing sufficiently in advance, as he determines, and the agenda must be attached.
- Quorum and decisions: A meeting is valid if at least a majority of the members attend, including the chairman or the person he designates. Decisions are passed by majority of those present, and if the votes are equal, the side the chair of the meeting voted with prevails.
- Minutes: They are signed by the chair of the meeting and the members present.
Remote meetings and circulation: When needed, and in urgent cases in the chairman's judgment, meetings and voting may be held remotely by technological means. Decisions may be taken by circulation, but they are not valid unless circulated to all members, who vote on them, and they obtain a majority of their votes.
Members' duties:
- Abstaining from voting is not permitted, nor is authorizing another member to vote when absent. A dissenting member may record the objection and its reasons in the minutes.
- Disclosing the Authority's secrets is not permitted, even after membership ends.
Advisers: The board may invite specialists and advisers to attend its meetings without the right to vote.
