Article 3 explained in plain English
This article sets the conditions for entering the insurance market, in five paragraphs:
- Licensing: no person in the Kingdom may carry on insurance or reinsurance business or provide ancillary insurance services except after obtaining a license from the Saudi Central Bank.
- The company's form and purpose: an insurance and reinsurance company must be a joint stock company, with its main purpose being to carry on insurance or reinsurance business, and it may not pursue other purposes unless they are necessary or complementary.
- Public offering: it may not apply to offer any of its shares for public subscription except after the Central Bank's approval, and the Central Bank sets the controls for approval.
- Brokerage: an insurance company may not directly own insurance brokerage companies or establishments, nor may a reinsurance company own reinsurance brokerage companies or establishments.
- Capital: it may not be amended except with the Central Bank's approval and in accordance with the Companies Law, and the Regulations set the minimum paid-up capital, which may not be less than SAR 300 million.
This article complements Article 2, which makes the Central Bank competent to review establishment applications and issue preliminary approval and licenses. After it comes Article 4, under which the Regulations set the insurance operations subject to the Law, and each company specifies the types of insurance it will carry on. Amendment: this text is the version amended by Royal Decree No. M/12 dated 23/1/1443 AH. Anyone who wants to set up an insurance business should consult a lawyer who specializes in insurance and financial sector matters.
