Article 3 explained in plain English
This article excludes certain dispositions from the tax imposed in Article 2. Paragraph (a) contains full exemptions, each with its conditions, including:
- Division of an estate, and carrying out a documented legitimate (Sharia) will.
- A documented gift to a spouse or any relative up to the third degree.
- A disposition without consideration to a public, private or joint waqf, or from or to a licensed charitable association.
- A disposition to a public body or public legal person or a body or project of public benefit, a disposition by a public body acting as a public authority, and expropriation for the public interest and temporary possession.
- A disposition made as an in-kind share in the capital of a company established in the Kingdom, on condition that the corresponding shares or stakes are not disposed of for the period set by the Regulations, not exceeding 5 years, and that the company keeps financial statements audited by an accredited external auditor throughout that period.
- A natural person transferring their real estate to a company or fund established in the Kingdom whose entire stakes they own, and dispositions between companies or funds wholly owned by the same person, on condition that ownership remains unchanged for the period set by the Regulations, not exceeding 5 years.
- A temporary disposition to use the property as security for financing or credit, unless it is enforced against the property by permanently transferring its ownership to the financier or a third party.
- A forced sale by order of a competent court, mergers and acquisitions between legal persons, a public offering and trading of listed securities and fund units.
- A disposition to a real estate developer licensed for off-plan sale and leasing, provided the property is allocated to an off-plan sale project for which a license has been issued by the competent body.
- Returning the property to its previous owner on cancellation of a documented disposition by mutual consent within no more than 90 days of documentation, on condition that the description of the property is not changed and its full value is returned.
The paragraph also includes other cases with their conditions, among them: a disposition where one party is a foreign government, an international organization or a diplomatic or military mission, on condition of reciprocity; an in-kind subscription to a real estate investment fund and a temporary disposition between an investment fund and a custodian under the Capital Market Law; and a disposition without consideration to a company or fund wholly owned by a waqf, on condition that the waqf's ownership percentage does not change for the period set by the Regulations, not exceeding 5 years. The Regulations set the criteria and rules for each exemption. Paragraph (b) allows the Council of Ministers to exempt other dispositions in full or in part. Because each exemption has precise conditions, you should consult a lawyer who specializes in real estate and tax cases before relying on it.
Practical example
Abdullah wanted to gift his apartment in Dammam to his son, and documented the gift with the competent body. The son is a relative up to the third degree and the gift is documented, so the disposition falls within the cases of full exemption. If he sold it to his friend, it would not fall within this case.
